Last Updated: September 19, 20251. IntroductionThis Terms of Service agreement (the “Agreement”) is a legal contract between you (the “User”) and Bitknz Corp. (referred to as “Bitknz”, the “Company”, “we”, or “us”), a Delaware corporation at the address listed above. By downloading, accessing, or using the Bitknz mobile application or any related website or services (collectively, the “Service”), you agree to be bound by the terms and conditions of this Agreement. Please read this Agreement carefully. If you do not agree with these terms, you must not use the Service.By using the Service, you represent and warrant that: (a) you are 18 years of age or older (the Service is not intended for and may not be used by anyone under 18); (b) you have the legal capacity to enter into this Agreement; and (c) you are not otherwise barred from using the Service under applicable law. This Agreement, together with our Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and Bitknz regarding the Service.We reserve the right to modify or update this Agreement from time to time. If we make material changes, we will provide notice by updating the “Last Updated” date above or by other means. Your continued use of the Service after any changes become effective constitutes your acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the Service.2. Eligibility and Account RegistrationEligibility: The Service is intended solely for users who are 18 years of age or older. By creating an account or using the Service, you acknowledge that you are at least 18. Bitknz does not permit use of the Service by any person under 18. You also confirm that you are not located in, under the control of, or a national or resident of any country or region against which use of the Service would violate applicable export or sanctions laws.Account Registration: To access the full features of the Service, you must create a Bitknz account. When registering, you agree to provide truthful, current, and complete information about yourself as prompted, including your name, valid email, mobile number, and any identity verification information requested. You agree to update your information promptly if it changes. Each User may maintain only one account, and you may not create an account using false identities or on behalf of someone else (except as legally authorized for an entity, in which case you represent you have authority to bind that entity to this Agreement).Identity Verification (KYC): You acknowledge that, as a financial service provider, Bitknz is required to comply with Anti-Money Laundering (“AML”) and Know-Your-Customer (“KYC”) regulations. Upon registration and from time to time, Bitknz may require you to provide additional information or documentation to verify your identity, source of funds, or other details. This may include government-issued identification, proof of address, date of birth, taxpayer identification, or other information. By using the Service, you consent to Bitknz obtaining, directly or through third-party verification services, information to confirm your identity. Your account may be suspended or limited until verification is completed, and failure to provide or verify required information may result in refusal or termination of Service. We may also screen your information against sanction lists or other compliance databases as required by law.Account Security: You are responsible for maintaining the confidentiality of your account credentials (login ID, password, and any other security feature such as two-factor authentication). You must not share your account or credentials with anyone else. You agree to notify Bitknz immediately at our customer support channel if you suspect any unauthorized access to or use of your account. We will never ask you for your password via email or unsolicited communications. You are responsible for all activities that occur under your account, whether or not authorized by you, until you notify us of a security breach. Bitknz will not be liable for any loss or damage arising from your failure to secure your account credentials.3. Description of ServicesServices Offered: Bitknz provides a mobile financial application that offers the following services to registered users:
• Remittances: You can send money transfers (remittances) to designated recipients, including cross-border/international transfers where supported. Bitknz enables you to fund a transfer (for example, via your Bitknz wallet balance or other payment methods) and have funds delivered to your chosen recipient.
• Digital Wallet: The app includes a wallet feature where you can store monetary value (funds) electronically. You may load funds into your Bitknz wallet (via acceptable funding methods) and use those funds for transfers or other in-app transactions. The Bitknz wallet is not a bank account and does not earn interest; it is a stored-value facility for your convenience. Funds held in the wallet are not FDIC-insured or government insured, but Bitknz will safeguard user funds in compliance with applicable regulations.
• Cash-Out via Local Partners: Bitknz may allow recipients (or users) to withdraw cash or receive funds through authorized local partner outlets, agents, or financial institutions (“Local Partners”) in various regions. For example, a recipient of a remittance might collect cash at a participating money exchange or retail partner, or a user might withdraw their wallet balance through a local bank or agent supported by Bitknz. Bitknz facilitates these payouts through partnerships, but the actual cash disbursement is handled by the Local Partner.Geographic and Usage Limitations: Bitknz’s Services may not be available in all locations. We may restrict Services or certain features based on jurisdiction, regulatory requirements, or partnership availability. We do not guarantee that any particular cash-out location or partner will be available at a given time. Transaction limits (such as maximum transfer amounts or wallet balance limits) may apply, especially in compliance with AML/KYC requirements or to ensure fair usage and security. These limits may be set in the app or on a per-user or per-transaction basis. We reserve the right to decline or delay any transaction that exceeds our limits or that cannot be processed due to regulatory or operational constraints.Service Access: You understand that the Service requires an internet connection and compatible hardware (e.g., a smartphone) and software. Bitknz is not responsible for any inability to use the Service due to issues outside our control, such as device malfunctions or internet outages. We may from time to time update the Bitknz app, and you may need to install updates to continue using the Service. We grant you, subject to your compliance with this Agreement, a limited, non-exclusive, non-transferable, revocable license to use the Bitknz app and Service for your personal, lawful, non-commercial use. We reserve all rights not expressly granted in this Agreement.4. Fees and Financial TermsFees: Your use of certain features of the Service (such as sending a remittance or specific wallet transactions) may be subject to service fees, including transaction fees, currency conversion fees, or other charges. Bitknz will disclose applicable fees to you (for example, within the app before you confirm a transaction). By initiating a transaction or using a Service that incurs a fee, you agree to pay the stated fees. Fees may be deducted from the amount you send or from your wallet balance, or charged separately, as described at the time of transaction. All fees are charged in U.S. dollars or another currency as indicated, and may be inclusive or exclusive of any taxes as applicable.Changes to Fees: Bitknz reserves the right to change its fee structure or to introduce new fees for new or existing services. If we increase fees or introduce new fees, we will provide notice through the Service or via other communication. Continued use of the Service after the effective date of fee changes constitutes acceptance of the new fees. If you do not agree to a fee change, you may discontinue use of the Service feature before the new fees apply.Currency Conversion: If a remittance or withdrawal involves a currency exchange (e.g., you fund in one currency and the recipient withdraws in another), the conversion will be done at an exchange rate provided by Bitknz or its partners at the time of transaction. We will disclose the exchange rate or amount to be received in the local currency when you set up the transaction, where possible. Exchange rates may include a spread or margin in favor of Bitknz or its partner in addition to any stated fees. You acknowledge that exchange rates can fluctuate, and once you confirm a transaction, the rate is locked in for that transaction. We make no guarantee that the rate you receive is the most favorable or that it will match market rates available elsewhere.No Refunds on Completed Transactions: All confirmed transactions are final. Once a remittance or withdrawal is executed, you generally cannot cancel it or obtain a refund, except in certain cases required by law or allowed by Bitknz at its discretion. If you believe a transaction was made in error, you should contact our customer support immediately. In the event that a transaction is canceled by Bitknz or not completed (for example, if a designated recipient fails to collect a remittance within a stipulated time or a transaction is rejected), Bitknz will normally credit the funds (minus any non-refundable fees, if applicable) back to your wallet or original funding source, unless prohibited by law or instructed otherwise (such as by a regulatory authority).Your Payment Methods: You are responsible for ensuring that any external payment method you use to fund your Bitknz account or transactions (such as a bank account, debit card, or credit card) is valid and that you are authorized to use it. If a funding transaction is reversed or fails (for instance, a bank reverses a deposit or a card chargeback occurs), Bitknz reserves the right to recover the amount from your Bitknz account balance or future transactions, and you may be responsible for any fees incurred by Bitknz due to the reversal. You agree that Bitknz may debit your wallet or any linked payment method for any amounts you owe.5. Acceptable Use and Prohibited ActivitiesYou agree to use the Service only for lawful purposes and in accordance with this Agreement. You shall NOT:
• Illegal Activities: Use the Service for any unlawful, fraudulent, or malicious activities. This includes, but is not limited to, money laundering, terrorist financing, fraud, tax evasion, gambling where illegal, financing of illegal products or activities, or any transaction that violates any law or regulation.
• Prohibited Transactions: Use the Service to send or receive funds on behalf of third parties as a payment intermediary, or to facilitate the purchase of goods/services that are illegal or prohibited (such as illegal drugs, counterfeit items, or illicit weapons). You may also not use the Service to send funds to persons or entities that are on any government-issued sanctions or watch lists, or to countries where remittances are prohibited by U.S. law or other applicable laws.
• False Information and Impersonation: Provide false, misleading, or deceptive information to Bitknz or any user, or impersonate any person or entity. All information you provide in connection with the Service (including during transactions, identity verification, or communications) must be truthful and accurate. You must use your true identity and you may not misrepresent the recipient or purpose of a transfer.
• Account Misuse: Allow anyone else to use your Bitknz account, or use the Service on behalf of any other person (except as allowed for authorized representatives of an entity account, if applicable). You also must not create multiple accounts for the same individual, or create an account if we have previously suspended or terminated your access.
• No User-Generated Content: Attempt to post, upload, or transmit any user-generated content on or through the Service. Bitknz’s platform is for financial transactions only and does not host user content such as public posts, media, or messages beyond transaction details. You are prohibited from using any feature of the Service to distribute content (for example, by inserting inappropriate text in money transfer messages or reference fields beyond what is necessary for the transaction). Any suggestions or feedback you provide to Bitknz about the Service will be considered non-confidential and may be used by us without obligation to you.
• Interference and Technical Misuse: Engage in any activity that interferes with or disrupts the Service or its servers, networks, or security. You must not introduce any viruses, malware, or any other harmful code into the app or our systems. Probing, scanning, or testing the vulnerability of any Bitknz system, or attempting to bypass or breach any security or authentication measures, is strictly prohibited. Additionally, you must not use automated scripts, bots, or scrapers to collect information from the Service or to engage in any transactions, nor undertake any action that imposes an unreasonable or disproportionately large load on our infrastructure.
• Unauthorized Use of Intellectual Property: Do not use Bitknz’s name, logo, branding, or any of Bitknz’s content or intellectual property except as expressly allowed by Bitknz. You may not reverse engineer, decompile, or disassemble the Bitknz software, nor create any derivative works based on the Service.Enforcement and Monitoring: Bitknz reserves the right (but has no obligation) to monitor transactions and use of the Service for compliance with this Agreement and applicable law. We may refuse, block, or reverse any transaction that we believe, in our sole discretion, violates any of the above prohibitions, or for any other reason consistent with protecting Bitknz, our users, or our partners. We may report any suspicious activity to relevant law enforcement or regulatory authorities. Violation of this Acceptable Use section may result in immediate suspension or termination of your account and legal action, if appropriate.6. Data Privacy and SecurityYour privacy and the security of your personal data are very important to us. Please review our Privacy Policy (available on our website or app) to understand how Bitknz collects, uses, stores, and discloses your information. By using the Service, you acknowledge that you have read and accepted the Privacy Policy. Key points include:
• Personal Data Collection: We collect certain personal information from you during registration and in the course of your use of the Service (such as identification information, contact details, transaction history, device information, and geolocation data). This information is used to provide the Service, process your transactions, perform identity verification, and comply with legal obligations (including AML/KYC record-keeping and reporting requirements). You consent to our collection and use of this data for these purposes.
• Use and Sharing of Data: Bitknz will use your data in accordance with applicable data protection laws. We may share your information with trusted third parties in certain situations – for example, with service providers that help us operate the Service (such as identity verification vendors, payment processors, banking partners, cloud hosting providers) under strict confidentiality and security obligations. We may also share information with our Local Partners as needed to complete your transactions (e.g., providing your name and transfer details to a cash-out agent so they can verify and pay your recipient).
